By using this website, you agree to be bound by these Terms and Conditions. PennPublish reserves the right to change the Terms and Conditions at any time, for any reason.
2.1 WEBSITE USAGE TERMS AND CONDITIONS
PennPublish grants you a non-transferable, non-exclusive license to use the website and the content of any emails you receive from PennPublish in accordance with these Terms and Conditions. The content and information contained in the website and emails is protected by copyright and other rights belonging to PennPublish. You may not copy, reproduce, modify, or create derivative works from any information provided in connection with the website or emails you receive from PennPublish, except in accordance with these Terms and Conditions.
You may not use the website or the content of any emails to compete with PennPublish or in any manner objectionable to PennPublish or detrimental to PennPublish (this includes “spamming”; use contrary to established “netiquette”; use in breach of anyone’s rights; use for any illegal purpose; accessing, posting, transmitting, downloading or communicating any objectionable, unlawful, threatening, defamatory, slanderous, scandalous, offensive, obscene, inflammatory, pornographic, profane, false or dangerous material; or use for hacking or otherwise compromising any linked computer system).
2.2 YOUR OBLIGATIONS AND CONDUCT
In consideration of Your use of the Website, you agree to:
I. provide accurate, current, and complete information about You as may be prompted by a registration form on the Website (the “Registration Data”);
II. maintain and promptly update the Registration Data, and any information You provide to PennPublish, to keep it accurate, current and complete.
2.3 YOUR RESPONSIBILITIES
You are entirely responsible for all Content that You upload, post or otherwise transmit via the Website. You agree not to upload, post or otherwise transmit via the Website Content that:
I. is inaccurate, harmful, obscene, pornographic, defamatory, racist, violent, offensive, harassing, or otherwise objectionable to PennPublish or other users of the Website;
II. includes unauthorized disclosure of personal information;
III. violates or infringes anyone’s intellectual property rights; or
IV. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
PennPublish reserves the right to edit or remove Content that violates these Terms or that contains third-party commercial advertisements.
2.4 AGREEMENT
You agree that You will not use the Website to:
I. transmit spam, bulk or unsolicited communications;
II. pretend to be PennPublish or someone else, or spoof someone else’s identity;
III. forge headers or otherwise manipulate identifiers (including URLs) to disguise the origin of any Content transmitted through the Services;
IV. misrepresent your affiliation with a person or entity;
V. disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users’ ability to use the Website;
VI. engage in activities that would violate any fiduciary relationship, local, state, national, or international law, or regulations having the force of law, including but not limited to compromising the security of any networked account or site, operating an illegal lottery or gambling operation, stalking, or making threats of harm; or
VII. collect or store personal data about other users unless specifically authorized by such users.
2.5 STANDARD SERVICES TERMS
PennPublish will use its reasonable endeavors to complete the services within the timeframe (if any) agreed by the parties in any corresponding Statement of Work (SOW).
PennPublish will have no liability for any delays or failure where such delays or failure is the direct or indirect result of any act or omission of the Customer or a breach by the Customer of this agreement.
If the Client does not respond to any communication from the Company, whether by email, phone, or other agreed-upon communication channels, for a continuous period of thirty (30) days, the Client’s project will be deemed inactive. As a result, the Company reserves the right to deactivate the Client’s account and remove all resources assigned to such project.
To reactivate the account and reinstate the project, the Client will be required to pay a reactivation fee, which the Company shall determine at its sole discretion. The Company shall not be liable for any loss or damage arising from the removal of project resources due to client inactivity.
2.6 INTELLECTUAL PROPERTY RIGHTS
Customer shall own all right, title and interest in and to the Deliverables. The rights, title and interest in and to the Deliverables shall be granted to the Customer only upon receipt of full payment by the Consultant. To the extent that the Deliverables incorporate Consultant pre-existing intellectual property (“Consultant Pre-existing IP”), and such Consultant Pre-Existing IP are necessarily required for the proper functioning of the Deliverables, Consultant grants to Customer a perpetual, non-exclusive, worldwide, transferable, royalty-free license to use such Consultant Pre-Existing IP solely along with the Deliverables.
2.7 WARRANTIES
Except as expressly stated in this Agreement, the parties disclaim all warranties of any kind, implied, statutory, or in any communication between them, including without limitation, the implied warranties of merchantability, non-infringement, title, and fitness for a particular purpose.
2.8 REFUND POLICY
On any occasion, any funds deposited will not be liable for a refund if the initial project and work (after delivery) are approved, or a change is asked for PennPublish to cancel or end your Contract for a reason other than your breach or non-execution. All refund requests will be as per the following arrangement:
You make a solicitation when the underlying ideas for a project are provided. However, once you approve or ask for changes in the initial drafts, the refund offer will be void.
Once the project has entered the revision phase, the refund offer will be void.
If a demand for a refund is made before the delivery of the initial task, you qualify for a full refund (less 10% administration and processing fee).
If the refund request is made within 48 hours, you qualify for a 66% refund (less 10%).
If made within 48–96 hours, you qualify for a 33% refund (less 10%).
No refund will be entertained after 96 hours of initial task delivery.
No refund if the customer goes unresponsive for more than 5 working days.
Refund requests are not accepted after final files have been delivered.
No refund for Discounted Deals or Bundles once drafts are revised or inner pages approved.
Custom packages follow the same refund rules as single services.
A refund request must be supported with valid reasons and evidence.
No refunds on change of mind.
Refund request timeframe is within 30 business days only.
Dispute & Public Conduct
Both PennPublish and the client agree not to publicly criticize the other party or its affiliates online or offline. Violation of this agreement may lead to reasonable compensation demanded by the non-breaching party.
The Money Back Guarantee only applies if the client acts in good faith. Multiple orders with other agencies on the same project void this policy.
Clients must remain active and provide feedback throughout the project process to ensure quality delivery.
All designs are guaranteed 100% unique, but coincidental similarity with existing content is not grounds for liability or compensation. Clients are responsible for securing copyrights.
TERMS AND CONDITIONS: PAYMENT COMPLETION POLICY
Full Payment Requirement
All balances must be paid in full before completion and delivery of any publishing project.
Initial Deposit and Payment Milestones
A non-refundable initial deposit is required at contract signing.
Payment milestones must follow agreed schedules.
Pending Payments Before Final Deliverables
No final files (e.g., ISBN, book cover, formatted manuscript) will be released until full payment is received.
Delays Due to Non-Payment
Delays exceeding 7 business days may result in project being marked as inactive.
Reactivation fee and pending payments must be cleared to resume.
Additional Services or Changes
Extra work or revisions beyond scope will incur additional charges, payable in advance.
Contract Termination Due to Non-Payment
Non-payment may lead to contract termination without delivery obligation.
All prior payments will be forfeited as compensation.
Payment and Dispute Resolution
All disputes must be raised within 14 days of issue.
Failure to resolve may result in collections or legal action.
Situations Covered
Non-payment after editing or design completion.
Requesting assets without final payment.
Delayed payments impacting timelines.
Refund Exceptions
No refunds for services already rendered.
Refunds for unused services are discretionary and minus admin fees.
Acknowledgment of Responsibility
By signing a contract, you agree to all payment terms. Failure to comply may result in delays or project cancellation.
